1. Description of Service

BIDLOGIC™ is a structured pricing intelligence software designed to assist service-based businesses in generating pricing estimates, margin calculations, and bidding frameworks.

BIDLOGIC™ does not guarantee revenue, profitability, job conversion, or business outcomes.

Users are solely responsible for all pricing decisions and business operations.

2. No Professional Advice

BIDLOGIC™ provides tools and structured frameworks for pricing support. It does not provide legal, accounting, financial, or business advisory services.

All decisions made using the software are at the sole discretion and risk of the user.

3. Limitation of Liability

To the fullest extent permitted by law:

Novara LLC shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from use of the software, including but not limited to lost profits, lost contracts, business interruption, or reputational harm.

Total liability shall not exceed the amount paid by the user in the preceding 30 days.

4. No Guarantee of Results

We do not guarantee:

• Increased revenue
• Increased profit
• Winning bids
• Market competitiveness

Results depend on implementation, local markets, operational costs, and user execution.

5. Subscription & Payment

Subscription fees are billed monthly unless otherwise stated.

All payments are non-refundable unless explicitly stated in writing.

Failure to pay may result in suspension of access.

6. Intellectual Property

All software, systems, logic structures, branding, and materials are the intellectual property of Novara LLC.

Users may not copy, reproduce, resell, or reverse engineer any part of BIDLOGIC™ without written consent.

7. Termination

We reserve the right to terminate access for misuse, abuse, or violation of these terms.

8. Governing Law

These terms are governed by the laws of the State of Missouri.

9. User-Submitted Content & Image Processing

Users may upload images, property details, job specifications, or other content (“User Content”) into the platform.

You retain ownership of any content you upload.

By uploading User Content, you grant Novara LLC a limited, non-exclusive, royalty-free license to process, analyze, store, and display such content solely for the purpose of providing BIDLOGIC™ services.

We do not claim ownership of your uploaded content.

You represent and warrant that you have the legal right to upload any content submitted to the platform and that such content does not violate any law or third-party rights.

Novara LLC is not responsible for inaccuracies within uploaded images or user-provided data.

10. Automated Processing & Data Accuracy Disclaimer

BIDLOGIC™ may:

• Process uploaded images
• Use automated logic frameworks
• Pull or reference third-party property or public data sources
• Apply structured pricing algorithms

All outputs generated by BIDLOGIC™ are estimates only.

We do not guarantee:

• Accuracy of square footage
• Accuracy of third-party property data
• Accuracy of image interpretation
• Accuracy of automated calculations

Users are solely responsible for reviewing, verifying, and approving all pricing decisions before sending bids to customers.

The platform is a decision-support tool only.

11. Third-Party Data Sources

BIDLOGIC™ may incorporate data from third-party services, public records, mapping tools, or property databases.

We do not control and are not responsible for the accuracy, completeness, or reliability of third-party data.

Use of third-party data is at your own risk.

12. Indemnification

You agree to indemnify and hold harmless Novara LLC, its owners, officers, employees, and affiliates from any claims, damages, liabilities, losses, or expenses arising from:

• Your use of the platform
• Your pricing decisions
• Inaccurate bids
• Misuse of third-party data
• Violation of these Terms
